Terms of Service

1. Agreement to Terms

By downloading, installing, or using KeyVault Studio ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to use the App.

2. License Grant

Subject to your compliance with these Terms, Stephan Bail grants you a limited, non-exclusive, non-transferable, revocable license to use KeyVault Studio for your personal or internal business purposes.

3. Restrictions

You agree not to:

  • Modify, reverse engineer, decompile, or disassemble the App
  • Rent, lease, loan, sell, sublicense, distribute, or transfer the App
  • Copy or reproduce the App except as permitted by this license
  • Remove any proprietary notices or labels
  • Use the App for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction

4. Beta Version Terms

If you are using a beta version of KeyVault Studio:

  • The software is provided "as is" for testing purposes
  • Features may change or be removed without notice
  • The beta version may contain bugs or errors
  • Beta access may be revoked at any time
  • Feedback provided may be used to improve the App

5. Azure Account Requirements

  • You must have a valid Microsoft Azure account
  • You are responsible for all Azure costs incurred
  • You must comply with Microsoft Azure Terms of Service
  • You are responsible for maintaining the security of your Azure credentials

6. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEPHAN BAIL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF INFORMATION
  • UNINTERRUPTED OR ERROR-FREE OPERATION

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STEPHAN BAIL BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Any damages resulting from:
    • Your use or inability to use the App
    • Any unauthorized access to your data
    • Any bugs, viruses, or errors in the App
    • Any interruption or cessation of the App

IN ANY CASE, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE APP IN THE PAST TWELVE (12) MONTHS.

8. Indemnification

You agree to indemnify and hold harmless Stephan Bail from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of any applicable laws

9. Data Security

While we implement security measures to protect your data, we cannot guarantee absolute security. You acknowledge that you use the App at your own risk and are responsible for maintaining the security of your device and credentials.

10. Updates and Changes

  • We may update the App from time to time
  • Updates may add, modify, or remove features
  • You may need to accept updated terms to continue using the App
  • We are not obligated to provide updates or support

11. Termination

These Terms remain in effect until terminated. We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, you must cease all use of the App and delete all copies.

12. Intellectual Property

KeyVault Studio and all related intellectual property rights are owned by Stephan Bail. These Terms do not grant you any rights to our trademarks, logos, or other proprietary information.

13. Third-Party Services

The App interacts with Microsoft Azure services. Your use of Azure is subject to Microsoft's terms and conditions. We are not responsible for any third-party services or their content.

14. Governing Law

These Terms are governed by the laws of Germany, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Munich, Germany.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and Stephan Bail regarding the use of KeyVault Studio and supersede all prior agreements and understandings.

18. Consumer Rights

If you are a consumer residing in the European Union, you have certain rights under consumer protection laws that cannot be waived by these Terms. Nothing in these Terms affects your statutory rights as a consumer.

19. Right of Withdrawal

According to EU consumer law, you have the right to withdraw from the purchase contract within 14 days without giving any reason. However, this right expires upon download of digital content with your prior express consent and acknowledgment that you thereby lose your right of withdrawal.
